Thales agrees to acquire Exail at a €3.9 billion enterprise value

Thales agreed to acquire the Gorgé family’s 35.51% stake and subsequently pursue full ownership of Exail. The offer represents a 9.4% premium to Exail’s previous closing price and displaced an earlier proposal from Safran. 

Exail gives Thales exposure to:

  • Autonomous underwater vehicles
  • Mine-countermeasure systems
  • Maritime navigation
  • Robotics and subsea operations
  • Anti-submarine warfare

Thales expects more than €90 million of annual adjusted EBIT benefits by 2032 and estimates that commercial synergies could produce €500 million in additional revenue over ten years

Investor view: This is the most strategically significant autonomous-systems acquisition of the month. It demonstrates that large primes are willing to pay multibillion-dollar valuations for scaled, differentiated drone and robotics businesses.

The modest headline premium suggests that much of Exail’s autonomy growth had already been incorporated into its public valuation. Investors should monitor regulatory timing, execution against the long synergy horizon and whether competing European primes respond with additional acquisitions.
