Ondas acquires DZYNE Technologies for $875.8 million

Announced: July 6
Buyer: Ondas — Nasdaq: ONDS
Target: DZYNE Technologies
Transaction value: $875.8 million
Structure: Cash and stock
Status: Acquired

DZYNE adds long-endurance autonomous aircraft, counter-UAS systems and autonomous effectors to Ondas. Its platforms include the ULTRA long-endurance ISR aircraft and IonStrike autonomous drone interceptor.

Ondas said DZYNE is expected to generate approximately:

MetricManagement forecast
2026 revenue$191 million
2027 revenueMore than $300 million
Three-year pipeline$1.5 billion
Backlog as of June 30$111 million

DZYNE is already EBITDA-positive, according to Ondas. The buyer combined DZYNE and World View within a new U.S. defense division called Ondas Sentinel

Investor view: This is a transformative rather than incremental transaction. Based on projected 2026 revenue, the purchase price equates to roughly 4.6 times forward revenue, before adjusting for cash, debt or transaction-specific accounting.

The deal could give Ondas the scale needed to compete for larger integrated defense programs. It also creates considerable execution risk because Ondas must integrate numerous autonomy, ISR and counter-drone businesses while managing equity dilution and maintaining growth expectations.
